Spare Labs Inc. (“Spare,” “we,” “us,” or “our”) respects your privacy and is committed to protecting your personal information. This Privacy Policy explains how we collect, use, disclose, and otherwise manage your personal information when you interact with our mobile applications (the “Apps”), any website or online service we control (each, a “Website”), and our underlying technology platform (together, the “Services”).
In some situations, we provide the Services on behalf of one of our subscribers (each, a “Transport Provider”) so that you can access and use that Transport Provider’s services through our Services. When this occurs, Spare generally acts as a service provider or processor for the Transport Provider. The Transport Provider may publish its own privacy policy that explains how it collects, uses, discloses, and otherwise manages your personal information. That separate policy forms an agreement directly between you and the Transport Provider, and Spare is not responsible for that separate policy.
This Privacy Policy explains how Spare processes personal information in connection with the Services, including what information we share with each Transport Provider when you use their services through our platform.
COLLECTION AND USE OF PERSONAL INFORMATION
The term “personal information” means information about an identifiable individual, such as name, address, email address, phone number, and other information relating to an individual.
Register: You do not need to register to browse our Website. However, if you want to use our Apps and other Services, you must register. When you register, we collect certain information that is required to provide the Services, such as your name, phone number, and email address. Other information, such as your profile picture, is optional and may be updated or removed at any time. We use this information to administer your account and communicate with you. If you register through a Transport Provider’s branded version of the App, this Privacy Policy still applies. Once you have an account with Spare, it may be used across multiple Transport Providers.
Drivers: If you are a driver, we may also collect your driver’s licence information to confirm your eligibility to drive. We may collect information about your vehicle, including photos, licence plate number, brand, model, and colour.
Communications: We may send you service-related communications and, with your consent where required, promotional or marketing messages by email, phone, push notification, or text message (SMS). Message frequency may vary and message and data rates may apply. You may opt out of marketing emails or push notifications by following the instructions in each message or by changing your account settings. You may opt out of SMS messages at any time by replying ‘STOP.’ We do not share mobile numbers with third parties or affiliates for their own marketing or promotional purposes. We may share mobile numbers with trusted subprocessors who provide support services (such as customer service providers), but only for those limited purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.
Trip Information: If you ride with Spare, we collect location information, such as pick-up and drop-off addresses and routes. This information is used to enable and improve your trip and related communications between users.
Ratings: To promote safety and service quality, we collect and share ratings and comments about drivers and riders within the Spare community.
Automated Decision-Making: We may use automated processes to help operate certain aspects of the Services, such as fraud detection, trip matching, or service optimization. We do not use automated decision-making that produces legal or similarly significant effects without human involvement. If we do, we will provide you with meaningful information about the logic involved and your rights in connection with such processing.
Payments: To process payments, we (or our trusted third-party payment processors) collect riders’ name, payment card details, and billing address. To pay drivers, we may collect bank account information, birth date, and address. By providing this sensitive information, you consent to its use for these purposes.
Contact Us: If you contact us with a comment, question, or complaint, we may collect your name, contact details, and any additional information you choose to provide. We retain this information to help you in the future and improve our Services.
Transport Provider: Where you use a Transport Provider’s service through our platform, we share your personal information with that Transport Provider only as needed for your trip or related services. A Transport Provider may ask you for additional information through the Service, which is governed by their separate privacy policy. Information specific to one Transport Provider is not shared with other Transport Providers.
Children’s Data: Our Services are not intended for use by children under the age of 13 (or a higher age threshold where required by local law). We do not knowingly collect personal information from children. If we become aware that we have inadvertently collected personal information from a child without appropriate consent, we will take reasonable steps to delete it as soon as possible. If you believe that we may have collected personal information from a child, please contact us immediately.
Anonymized Data: We may de-identify and aggregate your personal information for analytics, service improvements, and other internal purposes. We implement safeguards to ensure this data cannot be re-identified.
LEGAL BASIS FOR PROCESSING PERSONAL INFORMATION
We process your personal information only when we have a lawful basis to do so. This may include:
Consent: Where you have given clear consent for us to process your personal information for a specific purpose (for example, to receive promotional messages or SMS communications).
Contract: Where processing is necessary to perform our contract with you or to take steps at your request before entering into a contract (such as providing rideshare services).
Legitimate Interests: Where it is necessary for our legitimate business interests (or those of a third party) and your interests and fundamental rights do not override those interests.
Legal Obligation: Where we need to comply with a legal or regulatory obligation.

DISCLOSURE OF PERSONAL INFORMATION
We do not disclose, trade, rent, sell, or otherwise transfer your personal information without your consent, except as described in this Privacy Policy.
Other Users: Certain personal information (such as your name or ratings) may be visible to other users of the Apps or Services where necessary to facilitate safe and reliable use of the Services.
Service Provider Arrangements: We may share your personal information with trusted third-party service providers who help us deliver the Services. These include, for example, payment processors, cloud hosting providers, customer support tools, SMS messaging providers, and analytics vendors. These service providers may operate from locations such as Canada, the United States, Sweden, or other jurisdictions, but your personal information will be stored in the appropriate data centre(s) as described below. We ensure that service providers are given only the information needed to perform their designated tasks, and we do not authorize them to use or disclose your personal information for their own marketing or other independent purposes.
Spare operates secure, cloud-based data centres in the United States, Canada, and Japan, using reputable industry-leading providers with robust security, redundancy, and disaster recovery measures. Where applicable law, regulation, or a written agreement with a Customer expressly requires that certain personal information must be stored exclusively within the United States, Spare will store such personal information solely on infrastructure physically located within the United States. To ensure continuity of services and technical support, authorized Spare personnel or trusted service providers may access such data from outside the United States on a strictly limited basis, through secure encrypted connections, subject at all times to Spare’s confidentiality and security obligations. Where no applicable law, regulation, or agreement requires data residency within a specific jurisdiction, personal information may be stored or processed in any of Spare’s secure data centres or with trusted third-party providers in the United States, Canada, Japan, or other countries in which Spare operates. In all cases, Spare maintains rigorous administrative, technical, and contractual safeguards to ensure that any cross-border data transfers comply with applicable data protection laws and preserve the confidentiality, integrity, and availability of your personal information.
Where data is transferred internationally, we implement additional legal safeguards where required. When we transfer personal information from the European Economic Area (EEA), the United Kingdom, or Switzerland to other countries that do not provide an adequate level of data protection, we rely on Standard Contractual Clauses or other appropriate safeguards to protect your information. Where applicable, we may participate in the EU-U.S. Data Privacy Framework (DPF) or similar frameworks to facilitate compliant cross-border transfers.
Sale of Business: We may transfer any personal information we hold about you as part of a proposed or completed merger, sale, corporate reorganization, or other change in control, including insolvency or bankruptcy proceedings, in accordance with applicable law.
Legal and Compliance: Spare and our service providers may disclose your personal information if required to comply with legal or regulatory obligations, valid search warrants, or court orders, or as otherwise permitted or required by applicable law. We may also disclose your information to detect, suppress, or prevent fraud, or to investigate or prevent actual or suspected loss, abuse, or harm to persons or property.
Internal and Service-Related Usage: We may use your personal information for internal business purposes and to provide, maintain, and improve our Services. We may also share information with trusted service providers as needed to support these purposes.
Aggregate and Anonymized Data: We may anonymize and aggregate your personal information so that it cannot reasonably be re-identified. We may use such anonymized and aggregated data for analytics, research, or any other legitimate business purpose.
Transport Providers: Where you use a Transport Provider’s service through our platform, we share your personal information with that Transport Provider only to the extent necessary to deliver the Transport Provider’s services to you. A Transport Provider may collect additional information directly, which will be governed by their separate privacy policy. We do not share information collected for one Transport Provider with other Transport Providers.
ADDITIONAL INFORMATION ABOUT OUR WEBSITE & APPS
We automatically collect certain technical information from all users of our Services, such as Internet Protocol (IP) addresses, device identifiers, page requests, browser type, operating system, and average time spent on our Services. We use this information to understand and analyze how users interact with the Services, to maintain and improve our Services, and to tailor your experience.
Cookies: When you visit our Website, we may use cookies and similar tracking technologies to personalize your experience and to help us and our service providers understand usage patterns.
